1) Acceptance of Terms

Rally Campus Chats (“Rally,” “we,” “us,” or “our”) provides a messaging and event-planning service. By creating an account or using Rally, you agree to these Terms. If you do not agree, do not use Rally.

These Terms incorporate by reference our Privacy Policy (as updated from time to time).

We may update these Terms; continued use after an update means you accept the updated Terms.

2) Eligibility; U.S.-Only

You must be 18 or older and able to form a binding contract.

U.S.-only use. Rally is intended for U.S. residents and for use within the United States. By using Rally, you represent that you are located in the United States when accessing the service.

We may limit availability of the service or features by geography.

We do not knowingly allow anyone under 18 to use Rally and will terminate under-18 accounts if discovered.

3) Accounts & Security

You agree to provide accurate information and keep your credentials secure. You are responsible for activity on your account. If you suspect unauthorized use, notify us promptly.

We may send verification codes and service messages by email, SMS, or in-app notifications.

You are responsible for any carrier/data charges.

4) Your Content & License to Rally

You own the content you submit through Rally (messages, event details, photos, etc.). You grant Rally a non-exclusive, worldwide, royalty-free license to host, store, back up, reproduce, transmit, display, and process your content only as needed to operate, provide, maintain, secure, and improve the service.

You must have all rights needed to post your content and you remain responsible for it.

Rally and its licensors own the service, software, and trademarks. You receive a limited, revocable, non-transferable, non-sublicensable license to use Rally as intended.Feedback. If you submit suggestions or feedback, you agree we may use it without restriction or compensation.

5) Events & Offline Activities

Rally helps users coordinate events. Rally does not host, supervise, or ensure the safety of any event, does not provide emergency services, and does not verify event details or participants.

You are solely responsible for your events, compliance with applicable laws/policies, and your safety decisions.

6) Acceptable Use

You agree not to:

• violate laws or others’ rights (including IP, privacy, and publicity);

• harass, threaten, defraud, or promote violence or illegal activity;

• send spam/phishing, upload malware, or attempt to access others’ accounts or Rally’s systems;

• interfere with the service or circumvent security/technical measures.

We may remove content and suspend or terminate accounts if we believe you violated these

Terms or the law, or if necessary to protect Rally or users.

7) Communications; Marketing

Service messages. We may send transactional messages (e.g., verification, security, critical updates).

Marketing email (CAN-SPAM). Promotional emails will include our physical mailing address and a clear way to unsubscribe. We honor email opt-outs within 10 business days.

Marketing texts (TCPA). We send marketing texts only with your prior express consent. You can revoke consent using any reasonable method, including replying STOP. We honor revocations within a reasonable time, not to exceed 10 business days. We may send a one-time confirmation of your opt-out. Standard carrier rates may apply.

8) Third-Party Services

Rally may use or integrate third-party services (e.g., cloud hosting, SMS gateways, maps, analytics, payments). Their terms and privacy policies apply to their services. Rally is not responsible for third-party content or practices.

9) Disclaimers

Rally is provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, we disclaim all warranties (express or implied), including merchantability, fitness for a particularpurpose, non-infringement, and that the service will be secure, uninterrupted, or error-free. User content and events are created by users; we are not responsible for them. Rally is not a substitute for emergency services.

10) Limitation of Liability

To the fullest extent permitted by law, Rally and its affiliates, officers, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data. In all cases, our aggregate liability will not exceed US $100.

Some jurisdictions do not allow certain limitations; in that case, limitations apply to the maximum extent permitted by law.

11) Indemnification

You will indemnify, defend, and hold harmless Rally and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of Rally, your content, your events, or your violation of these Terms or law.

12) Copyright Concerns

If you believe content on Rally may infringe a copyright, please contact us at contact@rallycampuschats.com.

13) Governing Law; Arbitration; Class Action Waiver

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflicts rules.

Binding arbitration. Any dispute arising out of or related to these Terms or the service will be resolved by final and binding arbitration under the AAA Consumer Arbitration Rules. One arbitrator will preside. The seat will be Virginia; hearings may occur remotely by default unless the arbitrator orders otherwise. Small claims matters may be brought in small claims court instead.

Class/representative actions waived. You and Rally agree to arbitrate only on an individual basis. Class, collective, consolidated, private attorney general, or representative actions are not permitted.

Opt-out. You may opt out of this arbitration agreement by emailing contact@rallycampuschats.com within 30 days of creating your account. Your opt-out must include your name, the email/phone on your account, and a statement that you opt out.

Injunctive relief. Either party may seek temporary or preliminary injunctive relief in court to protect intellectual property or the service’s security pending arbitration.

Venue. For any matter not subject to arbitration (or to enforce awards), the state and federal courts in Fairfax County, Virginia will have exclusive jurisdiction and venue, and you consent to them.

14) Apple App Store Terms (iOS)

If you download the app from the Apple App Store, you acknowledge and agree that:

• These Terms are between you and Rally, not Apple. Apple is not responsible for the app or its content.

• Rally (not Apple) is solely responsible for maintenance and support.

• To the extent any warranty exists that is not effectively disclaimed, Apple may refund the purchase price of the app (if any); Apple has no other warranty obligation.

• Apple is not responsible for addressing claims relating to the app, including product liability, regulatory compliance, or consumer protection claims.

• Apple is not responsible for investigating, defending, settling, or discharging any third-party claim that the app infringes intellectual property rights.

• You represent you are not located in a country subject to a U.S. government embargo and are not on any U.S. government list of prohibited or restricted parties.

• Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the iOS app and may enforce these Terms against you.

15) Changes; Termination

We may change or discontinue the service or these Terms. We will update the “Last Updated” date when we do. Your continued use after changes means you accept them.

You may delete your account at any time. Sections that by their nature should survive (e.g., licenses, disclaimers, limits of liability, arbitration) survive termination.

16) Miscellaneous

Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force.

Entire Agreement. These Terms (and the Privacy Policy) are the entire agreement regarding Rally and supersede prior agreements.

Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or asset sale.

No Waiver. Failure to enforce a provision is not a waiver.

Force Majeure. We are not liable for delays or failures due to events beyond our reasonable control.

Electronic Communications. You consent to receive communications electronically and agree they satisfy legal requirements.
